The following Terms of Service establish a contract between Softmatic GmbH, Berlin, Germany ("Softmatic") and you. The terms include the provisions set forth in this document and in the respective privacy policy. Should you not agree to these terms, you do not have the right to access or use the service(s) and / or product(s) as listed below. If you do register for, subscribe or otherwise use our service(s) and / or product(s) you accept these terms and the respective privacy policy.
Barcode Add-on for Google Sheets, henceforth the product.
A license to use the product is available for purchase from the Softmatic store on a paid subscription basis. To access the product you will be billed in advance on a recurring and periodic basis. The billing cycle is yearly. For the subscription period you will be charged the fees and taxes applicable to that cycle as detailed below. Purchase of a license will grant you a non-exclusive, non-transferable right to install and use the product concurrently on one computer. The license is tied to the Google ID that was used for downloading and is non-transferable.
At the end of each billing cycle, your subscription will automatically renew ("Auto-Renewal") and your payment method for the subscription will automatically be charged within 24 hours prior to the end of the current cycle. For the new subscription period you will be charged the fees and taxes applicable to that cycle as detailed below and under the same conditions as the prior billing cycle unless you cancel it.
Subscriptions can be managed through your account settings. You will receive a link to the settings with your order confirmation.
You may cancel your subscription auto-renewal in your account settings at any time. You will not receive a refund for the fees you already paid for your current subscription period and you will be able to access the product until the end the current subscription period.
The fees for the subscription as outlined above and the scope of the license are displayed in the product.
Softmatic reserves the right to modify at any time the fees for the available billing cycles. Any change in fees will become effective at the end of the current billing cycle. Softmatic will announce upcoming changes to the fee structure four weeks prior to the change.
Purchases through the Softmatic web store are non-refundable.
Softmatic licenses the product "AS IS".
SOFTMATIC PROVIDES NO WARRANTIES AS TO THE FUNCTION OR USE OF THE LICENSED PROGRAMS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE PRODUCT IS WITH YOU. SOFTMATIC DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE PRODUCT WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE PRODUCT WILL BE UNINTERRUPTED OR ERROR FREE.
SOFTMATIC'S LIABILITY TO YOU UNDER ANY PROVISIONS OF THIS AGREEMENT FOR DAMAGES FINALLY AWARDED SHALL BE LIMITED TO THE AMOUNTS ACTUALLY PAID HEREUNDER BY YOU TO SOFTMATIC. IN NO EVENT SHALL SOFTMATIC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, LOSS OF PROFITS OR INTERRUPTION OF BUSINESS, HOWEVER CAUSED OR ON ANY THEORY OF LIABILITY.
YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS SOFTMATIC AND THEIR EMPLOYEES, CONTRACTORS, AGENTS, OFFICERS AND DIRECTORS, FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS OR DEBT, AND EXPENSES (INCLUDING BUT NOT LIMITED TO ATTORNEY'S FEES), RESULTING FROM OR ARISING OUT OF (A) YOUR USE AND ACCESS OF THE SERVICE(S) AND / OR PRODUCT(S), BY YOU OR ANY PERSON USING THE SERVICE(S) AND / OR PRODUCT(S) ON YOUR BEHALF OR (B) A BREACH OF THESE TERMS.
